Terms of Use
Last updated: 29 September 2026
These Terms of Use are between you and Deliveries New Zealand Limited, trading as Toolsie ("Toolsie", "we", "us" or "our").
These Terms of Use ("Terms") govern your access to and use of the Toolsie website, platform and related services ("Toolsie" or the "Services").
By creating an account, purchasing a subscription or using Toolsie, you agree to these Terms.
If you do not agree to these Terms, you should not use the Services.
1. About Toolsie
Toolsie is a tool and equipment management platform designed to help users organise and maintain records relating to their tools and equipment.
Depending on your plan and available features, Toolsie may allow you to:
- create a digital tool inventory;
- record serial and model numbers;
- upload photographs and receipts;
- record purchase and replacement values;
- store supporting documentation;
- track locations, lending, maintenance or warranties;
- receive reminders;
- generate reports and evidence packs; and
- use AI-assisted or automated features.
Toolsie is a record-keeping and organisational platform. It is not an insurer, insurance broker, loss adjuster, financial adviser, lawyer or valuation service.
2. Eligibility and accounts
You must provide accurate information when creating an account.
You are responsible for:
- maintaining the confidentiality of your account credentials;
- activity carried out through your account;
- maintaining accurate account information; and
- notifying us promptly if you suspect unauthorised access.
You must not knowingly allow another person to use your account in a way that breaches these Terms.
3. Your information and records
You retain ownership of content you upload or create through Toolsie.
You give Toolsie a non-exclusive licence to host, store, process, reproduce and use that content to the extent reasonably necessary to operate, secure and provide the Services to you.
You are responsible for ensuring that information you enter into Toolsie is accurate and that you have the right to upload or record it.
4. Insurance and evidence packs
Toolsie is designed to help you organise information that may be useful when dealing with an insurer, police, employer, accountant or other third party.
However, using Toolsie does not:
- create insurance cover;
- verify ownership of a tool;
- prove the value or condition of an item;
- guarantee that information will satisfy an insurer's requirements;
- guarantee that an insurance claim will be accepted;
- guarantee reimbursement for any loss; or
- replace the requirements of your insurance policy.
Insurance policies and evidential requirements differ between insurers and may change over time.
You remain responsible for understanding the terms of your insurance policy and checking information before submitting it to an insurer or other third party.
5. AI and automated features
Toolsie may use artificial intelligence, optical character recognition or other automated technologies to help identify, extract, classify, summarise or generate information.
These features are provided as tools to assist you and may make mistakes.
You are responsible for reviewing automated outputs before relying on them.
You should particularly verify important information such as:
- serial numbers;
- model numbers;
- purchase prices;
- dates;
- valuations;
- receipt information;
- insurance information; and
- information contained in evidence or claim packs.
Toolsie does not guarantee the accuracy or completeness of AI-generated or automatically extracted information.
6. Subscriptions and payments
Toolsie may offer free and paid plans.
Features, storage limits and usage allowances may vary between plans.
Prices and applicable billing periods will be displayed before you purchase a paid subscription.
Unless otherwise stated at the time of purchase, recurring subscriptions will continue for the applicable billing period until cancelled.
You may cancel a recurring subscription in accordance with the cancellation process made available through your account or payment provider. Cancellation normally prevents future renewals and does not retrospectively cancel a period already paid for, subject always to any rights you have under applicable law.
We may change subscription prices or plan features from time to time. Where a price change affects an existing recurring subscription, we will provide reasonable advance notice before the new price applies.
Nothing in these Terms limits any rights or remedies you may have under applicable New Zealand consumer law.
7. Free plans and trials
We may provide free accounts, trials or promotional access.
Free or trial services may have limitations on features, storage, number of tools, reports or other functionality.
We may modify or discontinue a free offering on reasonable notice, subject to applicable law.
8. Acceptable use
You must not use Toolsie:
- for unlawful, fraudulent or misleading purposes;
- to record tools or property you know to be stolen;
- to fabricate receipts, ownership records or insurance evidence;
- to submit knowingly false information to an insurer or another person;
- to infringe another person's intellectual property or privacy rights;
- to upload malicious software or harmful material;
- to attempt unauthorised access to Toolsie or another user's account;
- to interfere with the security or operation of the Services; or
- to reverse engineer or misuse the Services except where permitted by law.
We may suspend or restrict access where we reasonably believe an account is being used unlawfully, fraudulently or in a way that creates a material security risk.
9. Backups and important records
Toolsie takes reasonable steps to maintain the availability and integrity of the Services.
However, online services can experience failures, outages or data loss.
Where Toolsie provides an export function, we recommend periodically exporting or retaining independent copies of particularly important records, including purchase receipts and insurance documentation.
Toolsie should not be your only copy of irreplaceable documentation.
10. Availability and changes
We aim to provide a reliable service but cannot guarantee uninterrupted or error-free availability.
Toolsie may occasionally be unavailable because of maintenance, upgrades, technical problems or circumstances outside our reasonable control.
We may modify the Services as Toolsie develops, including adding, removing or changing features. Where a change materially reduces a paid service, we will act reasonably and consistently with applicable law.
11. Intellectual property
Toolsie and its licensors own the intellectual property rights in the Toolsie platform, software, branding, design and other materials provided by us, excluding content owned by users.
These Terms do not transfer ownership of Toolsie's intellectual property to you.
You may use Toolsie only for the purposes for which the Services are provided.
12. Third-party services
Toolsie may integrate with or rely on third-party services such as payment providers, hosting providers, email providers or AI services.
Those services may have their own terms and privacy policies.
Toolsie is not responsible for third-party services outside our reasonable control, although this does not limit responsibilities that cannot lawfully be excluded.
13. Consumer rights
If you acquire Toolsie as a consumer, you may have rights under the Consumer Guarantees Act 1993, Fair Trading Act 1986 and other New Zealand laws.
Nothing in these Terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded.
If you acquire the Services in trade and for business purposes, then, to the maximum extent permitted by law and where it is fair and reasonable for the parties to do so, the parties agree that the Consumer Guarantees Act 1993 does not apply.
14. Liability
To the maximum extent permitted by law, Toolsie will not be responsible for indirect or consequential loss arising from your use of the Services, including loss arising from inaccurate information entered by a user, reliance on unverified automated outputs, or an insurer or third party declining to accept documentation generated through Toolsie.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by law.
For paid Services, where liability can lawfully be limited, Toolsie's aggregate liability arising from the Services will not exceed the amount you paid to Toolsie for the relevant Services during the 12 months immediately preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot lawfully be limited or excluded.
15. Suspension and termination
You may stop using Toolsie at any time.
We may suspend or terminate access where:
- you materially breach these Terms;
- payment for a paid service remains overdue;
- your use creates a material security or legal risk;
- we reasonably believe the Services are being used fraudulently or unlawfully; or
- we are legally required to do so.
Where reasonably practicable, we will provide notice and an opportunity to remedy a breach before terminating an account, unless immediate action is reasonably necessary for security, fraud prevention or legal compliance.
16. What happens to your data when you leave
Where reasonably available, you should export information you wish to retain before closing your account.
Following account closure, we may delete or de-identify account data in accordance with our Privacy Policy, subject to information we are required or reasonably entitled to retain.
17. Changes to these Terms
We may update these Terms from time to time to reflect changes to Toolsie, our business or applicable law.
For material changes affecting existing paid users, we will provide reasonable notice before the changes take effect where practicable.
Continuing to use Toolsie after updated Terms take effect constitutes acceptance of those Terms, subject to your rights under applicable law.
18. Governing law
These Terms are governed by the laws of New Zealand.
You and Toolsie submit to the jurisdiction of the New Zealand courts, subject to any rights you may have to bring a claim through the Disputes Tribunal or another forum available under applicable law.
